Terms and Conditions
Copyright – Material filmed and/or taken by David Sinclair (Corporate Motion)
All material captured by David Sinclair or his affiliates is solely owned by David Sinclair and protected under UK law.
Upon completion and receipt of full payment, copyright ownership may, in certain cases and with prior written agreement, be transferred to the client. Such arrangements will be clearly stated in the written quotation.
David Sinclair reserves the right to use any footage, material, or media, in part or in full, for promotional purposes unless otherwise agreed in writing with the client.
Copyright – Material Provided by the Client
If the client supplies material (e.g., video, audio, photographs, logos) for inclusion in a David Sinclair production, they must first obtain permission from the original copyright holder. Copyright must either be transferred to David Sinclair or the material provided free of charge. The client must indemnify David Sinclair against any future claims, disputes, or expenses related to this material. David Sinclair may use the final production, in full or part, for promotional purposes.
Personal Consent and Release
The client must ensure all contributors agree that David Sinclair and his affiliates have the right to use their name, biography, and any recordings, interviews, or photographs taken by David Sinclair, without additional payment, for inclusion in the production and related advertising/publicity, in any media, worldwide, in perpetuity.
Contributors grant David Sinclair full discretion in editing and using materials, waive all moral rights, and release him from any liability arising from these rights.
Payment Terms
Invoices are payable within 30 days. This overrides any terms in a client purchase order. Late payments may incur additional charges as per UK government guidelines.
Changes and Revisions
The agreed price is based on the estimated time and work required. Any changes or additions will be quoted separately.
Approval and Amendments of Draft Cut
Clients will receive a draft version for review, with up to two rounds of revisions included. Additional changes will incur extra costs.
Health and Safety
David Sinclair may remove personnel or equipment from unsafe or hostile environments, with related costs charged to the client. Site safety rules will be observed, and liaison with a Health and Safety Manager will occur if necessary.
Insurance
Public liability insurance of £10 million is held. Project-specific cover can be arranged upon request.
Bad Weather
Filming dates may be changed for safety due to bad weather.
Aborted Filming/Reshoots Due to Client
If filming is delayed or cancelled due to client disorganisation, full filming costs may be charged. Reshoots may incur additional fees.
Changing Filming Dates
At least one week’s notice is required to change filming dates. Failure to give notice results in full cost liability.
Equipment Substitution/Failure
If equipment fails, suitable replacements will be sought promptly. Final equipment choice lies with the senior crew member. No further claims are accepted.
Scope of Work
All work is as per the written quotation. Additional filming days or amendments will be charged at an agreed amount before hand.
Freelancing
All agreed “filming” freelance work is to be paid at the time of booking. All editing work is to be paid at the end of all editing but prior to edited film released.
Liability
David Sinclair is not liable for errors or for any damages including lost profits or savings. Unenforceable provisions are severable without affecting the rest of the contract.
Force Majeure
Contracts may be altered or cancelled due to events beyond control.
Clear Access for Filming
The client must ensure clear access to all filming locations. Delays may incur extra charges.
General
These terms are accepted upon receipt of a written order and override any client terms.
